NOTICE UNDER SECTION 793, COMPANIES ACT 2006 — DISCLOSURE OF INTERESTS IN SHARES

1. Basis of Notice

3. Information Required
In respect of each person identified above, I require the Company to elicit and disclose to me, pursuant to section 793(3)–(5) of the Act, the following particulars:
(a) Confirmation that the person holds, or has held within the past three years, an interest in shares of the Company;
(b) The full legal name and registered address of each person interested in the shares;
(c) The number and class of shares in which each such person holds or held an interest;
(d) Whether each such person's interest is held:
as registered legal owner;
as beneficial owner behind a nominee;
through a derivative, equity swap, or other financial instrument;
through a trust, fund, or other arrangement;
(e) Where the interest is held through a nominee, the identity of the beneficial owner behind that nominee;
(f) The identity of all persons interested in the same shares simultaneously;
(g) Whether any persons interested in the same shares are or were parties to any agreement or arrangement under section 824 of the Act (concert party/share acquisition agreements) or any other agreement relating to the exercise of voting rights attached to those shares;
(h) In respect of any past interest: the identity of the person who held that interest immediately upon the relevant person ceasing to hold it.
4. Particulars Regarding the Register of Members — Section 116
Pursuant to section 116 of the Companies Act 2006, I further request:
(a) Inspection of the full register of members of Serco Group plc as maintained by its registrar, Equiniti Limited; and
(b) A complete copy of the register of members, including all nominee account names, addresses, share quantities, date of registration, and class of shares for every registered holder.
I confirm that the purpose for which this information is to be used is journalistic research in the public interest, specifically the investigation of the ownership structure and beneficial interest holders of a major public company contracting extensively with the UK Government. I confirm that the information may be published in the course of that journalistic investigation.
5. Time for Compliance
Pursuant to section 793(7) of the Act, I require the information requested in paragraphs 3 and 4 above to be provided within 14 days of the date of this notice.
6. Consequences of Non-Compliance
I note that pursuant to section 795 of the Companies Act 2006, failure by any person to comply with a notice under section 793 without reasonable excuse is a criminal offence, punishable on summary conviction by a fine. I further note that pursuant to section 794, the Company may apply to the court for an order directing that the shares in respect of which a notice under section 793 has not been complied with be subject to restrictions.
7. Service

Step 5 — If They Don’t Respond
If no response arrives within 14 days:
Non-compliance is a criminal offence under s795 Companies Act 2006
Report non-compliance to Companies House (reportinganoffence@companieshouse.gov.uk)
File a complaint with the Financial Conduct Authority (companies on a regulated market have additional disclosure obligations under DTR 5)
Document the non-response as part of our published investigation
Step 6 — If They Refuse
They can only lawfully refuse by applying to a court. If they apply to court, you will be notified and can contest it by demonstrating journalistic public interest purpose — which is a recognised exemption under s116(4) CA2006.
Why does it matter?
Because if the people profiting from government contracts are criminals, foreign states, or people who shouldn’t be holding those contracts — that is your business.
They are counting on nobody asking.
